TERMS AND CONDITIONS FOR ILG PA MEMBERSHIPS
Introduction
These terms and conditions apply between you, the user of this website and account holder and Independent Living Group Ltd, the owner and operator of this website. Please read these terms and conditions carefully, as they affect your legal rights. Your agreement to comply with and be bound by these terms and conditions is deemed to occur upon registration of an account through the website. If you do not agree to be bound by these terms and conditions, you should stop using the Website immediately and should your data require removal under the terms of our data privacy agreement, contact us on 01476 851 464 or email support@independentlivinggroup.com.
Definitions
In these terms and conditions, the following words in bold have the meaning set out below:
Account means your personal registration as a user of the website which is accessed securely by way of a password which you set for yourself and retains all data inputted by you personally or by us on your behalf, including any media which has been uploaded.
Membership means a product or service to which you have subscribed through the website, whether paid for or otherwise, and will differ depending on the membership offering.
Primary account means an employer account which allows them to access administrative features, manage employee enrolment, and track usage statistics related to the EAP. Employers retain complete control over sub-accounts.
Services means any service which is included in your membership type and provided by third party organisations. We facilitate access to the services but do not directly provide them.
Subscription means a membership which renews at the end of a prescribed period as set out in the membership details, often at intervals of a year but may be less. A subscription may arise whether provided at no cost, paid for personally or paid by other means.
Sub-account means an employee account resulting from an employer Primary account, granting them access to the EAP services. Each Employee will be granted a separate account with limited features based on the Employer’s subscription plan.
User or Users means any third party that accesses the Website and is not either (i) employed by Independent Living Group Ltd and acting in the course of their employment or (ii) engaged as a consultant or otherwise providing services to Independent Living Group Ltd and accessing the Website in connection with the provision of such services.
We or Us means Independent Living Group Ltd, the seller of the Services included in each membership programme.
You/your means the user of this website and individuals with a registered account accepting these terms and conditions, whether you have purchased and paid for a membership or otherwise. Where you/your is referenced in any section of these terms and conditions intended for specific membership types, terms of such sections are relevant to you only where your membership falls within that category.
TERMS APPLYING TO ALL USERS AND ACCOUNT HOLDERS
All membership types
During application to the ILG PA membership, PA’s provide evidence of their work for an individual employer or of their own self-employed status. During this process we do not check an individua’s right to work in the UK. It is agreed and understood that holding an account or having membership of any ILG PA product or service, whether purchased directly or otherwise, does not act as evidence of your or your employee’s right to work in the UK.
You must be at least 18 years of age to register an account through the website. By registering for an account, you are agreeing to these terms and conditions, you represent and warrant that you are at least 18 years of age.
You are responsible for the accuracy of any data and media which you input or upload to your account, whether done so by yourself or any other person on your behalf.
You must ensure that all data and media uploaded to your account is appropriate to meet the needs of the membership eligibility and does not contain content which is unlawful or offensive. We reservice the right to determine if any content is offensive and remove your account in the event that data is uploaded which we believe does not meet this standard. Should your account be deleted under these circumstances you will not be entitled to a refund of any payments made to us.
We reserve the right to terminate any membership, subscription and access to any of the services provided via the ILG PA website in the event of violation of these terms and conditions.
Third Party Providers
The services offered by us through the ILG PA membership site, are delivered by independent third-party organisations.
We, the seller, are not a party to any contract between the third-party service providers and any members purchasing or subscribing to their services.
The Seller is not liable for any negligence, actions, or omissions of any third-party service providers, including but not limited to errors, omissions, delays, or failures in the delivery of the services.
Liability Disclaimer
We, the seller, will make reasonable efforts to ensure that third-party service providers are reputable and capable of delivering the services. However, the Seller does not assume responsibility or liability for the quality, accuracy, timeliness, or outcomes of the services provided by these third-party organisations.
The Employer and Employee agree to indemnify and hold us harmless from any claims, damages, losses, or liabilities resulting from the acts or omissions of any third-party service provider.
Confidentiality and Privacy
We respect your privacy. All personal data collected through the employee assistance programme will be handled in accordance with applicable data protection laws and regulations.
Employee participation in the employee assistance programme is voluntary, and all information provided by Employees to the seller or third-party service providers will be kept confidential, except as required by law or as necessary to facilitate the provision of services.

This Website may contain links to other sites. Unless expressly stated, these sites are not under the control of Independent Living Group Ltd or that of our affiliates.
We assume no responsibility for the content of such Websites and disclaim liability for any and all forms of loss or damage arising out of the use of them.

Availability of the Website and disclaimers
Any online facilities, tools, services or information that we make available through the Website (the Service) is provided “as is” and on an “as available” basis. We give no warranty that the Service will be free of defects and/or faults. To the maximum extent permitted by the law, we provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality. We are under no obligation to update information on the website.
Whilst we use reasonable endeavours to ensure that the Website is secure and free of errors, viruses and other malware, we give no warranty or guaranty in that regard and all users take responsibility for their own security, that of their personal details and their computers.
We accept no liability for any disruption or non-availability of the website.
We reserve the right to alter, suspend or discontinue any part (or the whole of) the website including, but not limited to, any products and/or services available. These terms and conditions shall continue to apply to any modified version of the website unless it is expressly stated otherwise.
TERMS APPLYING TO SPECIFIC MEMBERSHIP TYPES
Employer membership / primary accounts
This section is applicable only to employer memberships with the intention to give their PAs access to the ILG PA programme.
Employer memberships on invoiced account arrangement
In some areas it may be possible to get a coupon to use upon your registration of an employer primary account which will mean you will not need to process payment upon registration. In such cases we will invoice the direct payment provider with whom we have agreed the arrangement and your access, along with your PA’s access, will be granted upon registration.
Should you provide a coupon code to register your employer primary account, which you are not eligible to receive, we will offer you the opportunity to pay directly for the membership. If payment is not received your access and the access of your employee’s sub-accounts will be terminated.
Employer memberships paid directly
Access to the Services included in your membership and that of your employee’s sub-accounts, including the provision of an ID badge, will not be activated until payment has been received by us.
There is no cooling off period following registration and acceptance of these terms. Should you wish to cancel your subscription following acceptance of these terms and commencement of a subscription prior to the subscription period ending, we reserve the right to refuse a refund or, at our sole discretion, offer a partial refund which will take into account costs associated with the set up and administration of your account and any employee sub-accounts associated with the specific membership.
Should you wish to add additional PAs to your subscription we will charge 100% of the cost for each PA annual membership if the addition occurs in the first half of any subscription period. A charge of 50% will apply for additional PAs requested in the second half of a subscription period. Your subscription will be adjusted to account for the additional PAs upon your subscription renewal.
Should you wish to reduce the number of PAs covered by your subscription mid-way through a subscription period, we will offer a 50% refund per annual PA membership removed, when occurring in the first 6 months of any subscription period. Where removal occurs in the second half of any subscription period, we will reduce your subscription to apply upon the renewal date.
You may request the removal of any employee sub-account at any time. You are responsible for notifying your PA that their membership has been terminated. Your PA may choose to pay for their membership under a separate personal account.
Cancellation
You must notify us in advance of a subscription renewal should you wish to cancel the subscription. Failure to notify us of a cancellation in advance of renewal may result in a refusal to refund the renewal cost or, at our sole discretion, we may offer a partial refund which will take into account costs associated with the continuation of services post renewal.
Should you wish to cancel your whole subscription entirely you must notify us by email at hello@ilg-pa.com or calling 01476 851 464.
Upon termination of your account, membership and/or subscription, all employee sub-accounts associated with you will be deactivated. You will be responsible for notifying your PAs who have an employee sub-account that the membership has come to an end.
General
The primary account holder is responsible for ensuring that Employees are informed about the availability and scope of the sub-account membership.
You agree to provide accurate and up-to-date employee information for the purpose of creating sub-accounts and facilitating access to the services. You are also responsible for ensuring compliance with these Terms and Conditions.
In agreeing to these terms and conditions, you accept the terms applicable to your associated employee sub-account holders as provided below in the section entitled Employed PA membership / Sub-accounts.
Any claims that ILG PA ID badges have not been received, must be made within 30 days or an additional charge of £5 will be payable to issue another badge.
Where you have consented to receive information and/or marketing from us, your subscription to such information will not be automatically cancelled upon termination. You will be able to unsubscribe to any emails received by following the link provided in the email.
Employed PA membership / Sub-accounts
This section is applicable to PA’s who are not purchasing the membership directly.
By registering for membership, you agree to these terms and conditions and are confirming your role as a support worker in the care sector.
We reserve the right to assess your eligibility for the scheme upon registration and if we are not satisfied that you meet the eligibility criteria your registration will be cancelled, and you will not receive the ILG PA ID badge.
Your employer is the primary account holder, and you are the sub-account holder.
Your employer retains control over the continuation of your membership at all times which will only be valid during your period of employment and will end upon termination of your employment with the primary account holder for any reason.
Access to the ILG PA website, our shopping discount platform, all other products and Services included in your membership, including the provision of the ILG PA ID badge, will only be activated and processed upon receipt of payment on the primary account. Upon termination of your employer’s primary account membership or subscription, your membership will be deactivated even if occurring mid-way through your membership period which renews yearly.
Upon termination of your employment and/or your membership, you must return your ILG PA ID badge to your employer.
Should your employer choose to terminate their subscription, you may choose to convert to your own membership arrangement by paying directly for a subscription.
When registering your membership, you are responsible for accurately inputting your data.
You, or if agreed with them your employer, may be required to pay a fee of £5 for an additional ILG PA ID badge in the following circumstances:
- You have lost your badge
- You want to change the details or photo on the card
- You haven’t given the full or correct address information causing the badge to become lost in the post
- You have failed to notify us that the ID Badge has not arrived within 30 days of registration
PA membership – purchased directly (non sub-account)
This section is applicable to employed PA’s who have purchased the membership directly.
By registering for membership, you agree to these terms and conditions and are confirming your role as a support worker in the care sector.
Access to the services included in your membership, including the provision of an ID badge, will not be activated until payment has been received by us.

GENERAL TERMS
You may not transfer any of your rights under these terms and conditions to any other person. We may transfer our rights under these terms and conditions where we reasonably believe your rights will not be affected.
These terms and conditions may be varied by us from time to time. Such revised terms will apply to the Website from the date of publication. Users should check the terms and conditions regularly to ensure familiarity with the then current version.
These terms and conditions together with the Privacy Policy and Cookies Policy contain the whole agreement between the parties relating to its subject matter and supersede all prior discussions, arrangements or agreements that might have taken place in relation to the terms and conditions.
The Contracts (Rights of Third Parties) Act 1999shall not apply to these terms and conditions and no third party will have any right to enforce or rely on any provision of these terms and conditions.
If any court or competent authority finds that any provision of these terms and conditions (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision will, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of these terms and conditions will not be affected.
Unless otherwise agreed, no delay, act or omission by a party in exercising any right or remedy will be deemed a waiver of that, or any other, right or remedy.
This Agreement shall be governed by and interpreted according to the law of England and Wales and all disputes arising under the Agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the English and Welsh
